Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Kashboard (“Kashboard,” “we,” “us,” or “our”) governing your access to and use of the Kashboard website, software application, APIs, integrations, reports, tools, features, content, and related services (collectively, the “Service”).

By creating an account, redeeming a promotional or Lifetime Deal code, purchasing a plan, clicking to accept these Terms, or accessing or using the Service, you agree to these Terms and our Privacy Policy.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and that organization.

If you do not agree to these Terms, do not access or use the Service.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

You may not use the Service if you are prohibited from doing so under applicable law or if we have previously suspended or terminated your access, unless we provide written permission.

If an account is created or managed for a business, the person designated as the account owner or administrator may control the account, invite or remove users, access account information and User Content, change permissions, and make decisions for the account.

You are responsible for ensuring that each authorized user complies with these Terms.

2. The Service

Kashboard provides software intended to help users organize, view, categorize, analyze, and manage business and financial information.

Features may include bookkeeping tools, dashboards, reports, transaction categorization, data imports, integrations, automations, artificial intelligence features, and other functionality that we may add, change, or remove over time.

We may modify, update, improve, limit, suspend, replace, or discontinue any part of the Service at any time.

Features may vary by plan, region, account type, usage level, device, integration, or promotional offer. We do not guarantee that any particular feature, integration, data source, pricing plan, or third-party connection will remain available.

We may establish or change reasonable operational limits, including limits on:

  • Users or seats;
  • Businesses or entities;
  • Connected accounts;
  • Transactions;
  • Storage;
  • Uploads and exports;
  • Reports;
  • API calls;
  • Automations;
  • Data refreshes;
  • Artificial intelligence usage;
  • Processing volume; and
  • Other resources.

Limits may be applied to protect the Service, control third-party or infrastructure costs, maintain fair access, address unusual usage, or reflect changes to a plan.

3. Kashboard Is Not Professional Advice

The Service is a software tool only.

Kashboard is not an accounting firm, bookkeeping firm, tax preparer, financial adviser, law firm, fiduciary, bank, money transmitter, payroll provider, auditor, or government agency.

Nothing provided through the Service constitutes accounting, tax, financial, investment, legal, payroll, compliance, or other professional advice.

Reports, categorizations, calculations, forecasts, suggestions, artificial intelligence outputs, and other results may be incomplete, delayed, inaccurate, or unsuitable for your circumstances.

You are solely responsible for:

  • Reviewing and verifying all information and outputs;
  • Maintaining complete and accurate books and independent copies of important records;
  • Determining the correct accounting and tax treatment of transactions;
  • Meeting all filing, payment, recordkeeping, reporting, and compliance obligations; and
  • Obtaining advice from qualified professionals where appropriate.

You must not rely on the Service as your sole system of record or as the sole basis for a tax filing, financial statement, regulatory submission, financing decision, or other material decision.

Kashboard is not responsible for penalties, interest, missed deadlines, incorrect filings, audit outcomes, business losses, or other consequences arising from your use of or reliance on the Service.

4. Accounts and Security

You must provide accurate, complete, and current account information and promptly update it when it changes.

You may not impersonate another person, create an account using false information, or create accounts to evade a restriction, suspension, limit, or charge.

You are responsible for:

  • Safeguarding passwords, authentication methods, recovery information, API keys, and devices;
  • All activity occurring under your account, whether or not authorized by you;
  • Managing authorized users and their permissions; and
  • Notifying us promptly at contact@kashboard.app if you suspect unauthorized access or a security incident.

You may not share login credentials outside your authorized organization, sell or transfer an account, or permit access by more users than your plan allows.

We may require identity, business, payment, or ownership verification before granting, restoring, or continuing access.

5. User Content and Data Responsibilities

“User Content” means information, records, documents, files, transaction data, account data, text, images, instructions, and other material that you or your authorized users submit, upload, import, connect, generate, or otherwise make available through the Service.

You retain ownership of your User Content.

You grant Kashboard and its service providers a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, and otherwise use User Content as reasonably necessary to:

  • Operate, secure, support, improve, and provide the Service;
  • Comply with applicable laws and legal obligations;
  • Enforce these Terms; and
  • Prevent fraud, abuse, or misuse.

You represent and warrant that you have all rights, permissions, notices, and lawful bases necessary to provide User Content to Kashboard and authorize its processing.

You must not submit User Content that:

  • Is unlawful;
  • Infringes another person’s rights;
  • Contains malicious code;
  • Violates confidentiality obligations; or
  • You are otherwise prohibited from disclosing.

You are responsible for the accuracy, quality, legality, and integrity of User Content and for maintaining independent backups.

The Service is not a guaranteed backup or archival service.

Imports, exports, synchronizations, bank feeds, integrations, and automated processing may result in delayed, duplicated, missing, altered, or incorrectly categorized data. You must review and reconcile your data regularly.

Subject to applicable law and our Privacy Policy, we may generate and use aggregated or de-identified data that does not reasonably identify you or any individual to operate, analyze, secure, and improve the Service, develop features, and understand usage trends.

6. Third-Party Services and Integrations

The Service may connect to or depend on third-party products, banks, financial-data providers, payment processors, software platforms, websites, APIs, artificial intelligence providers, and other services (“Third-Party Services”).

Your use of a Third-Party Service may be governed by separate terms and privacy practices between you and that provider.

Kashboard does not control and is not responsible for Third-Party Services, including their:

  • Availability;
  • Security;
  • Accuracy;
  • Data retention;
  • Pricing;
  • Acts or omissions; or
  • Changes to functionality.

We may add, replace, limit, or discontinue any integration without liability.

Data supplied by a Third-Party Service may be delayed, incomplete, duplicated, or inaccurate.

You authorize Kashboard and relevant providers to access and exchange information as necessary to provide integrations you enable.

7. Acceptable Use

You may use the Service only for lawful business or personal purposes and in accordance with these Terms.

You must not, and must not assist or permit anyone else to:

  1. Violate any applicable law, regulation, court order, contract, or third-party right.
  2. Use the Service for fraud, money laundering, deceptive conduct, unlawful financial activity, or to facilitate harm.
  3. Upload malware, malicious code, corrupted data, or content designed to interfere with a system.
  4. Gain or attempt to gain unauthorized access to the Service, another account, data, network, or system.
  5. Probe, scan, test, bypass, disable, or defeat security, authentication, rate limits, usage limits, billing controls, or access restrictions.
  6. Scrape, crawl, harvest, copy, index, or access the Service through unauthorized automated means.
  7. Reverse engineer, decompile, disassemble, decode, translate, discover source code, or attempt to derive underlying models, algorithms, trade secrets, or non-public APIs, except where applicable law does not permit this restriction.
  8. Copy, modify, distribute, sell, lease, sublicense, resell, white-label, timeshare, or commercially exploit the Service unless we have expressly authorized it in writing.
  9. Use one account for multiple unrelated organizations, share seats, stack or combine promotional codes, create duplicate accounts, or manipulate usage in a way not expressly permitted by the applicable plan.
  10. Generate traffic, workloads, transactions, requests, exports, or other usage that is excessive, abusive, abnormal, deceptive, or materially burdensome relative to ordinary use of the applicable plan.
  11. Interfere with the integrity, performance, security, or availability of the Service or another user’s use of it.
  12. Use the Service to develop, train, benchmark, or operate a competing product or service without our written permission.
  13. Remove or obscure proprietary notices.
  14. Misrepresent your relationship with Kashboard or imply our endorsement.

We may investigate actual or suspected violations.

You agree to reasonably cooperate with an investigation, including by providing information sufficient to verify legitimate use of the account.

8. System Abuse, Restriction, Suspension, and Deletion

We may, at any time and with or without prior notice, monitor usage and take any action we reasonably consider necessary if we believe, suspect, or determine that:

  • An account or user has violated these Terms or applicable law;
  • The Service, a promotion, code, feature, integration, refund process, payment mechanism, or usage allowance is being abused, exploited, manipulated, or used outside its intended purpose;
  • Usage is fraudulent, unauthorized, abnormal, excessive, automated, harmful, or creates a security, legal, financial, operational, or reputational risk;
  • Account, identity, payment, redemption, ownership, or eligibility information is inaccurate, unverifiable, disputed, or associated with fraud, a chargeback, or unauthorized resale;
  • An account threatens the Service, Kashboard, another user, a third party, or the integrity of our systems; or
  • Restriction is necessary to comply with law, a legal request, a provider requirement, or an obligation owed to a third party.

Actions may include:

  • Warning the user;
  • Requiring additional verification;
  • Blocking particular activity;
  • Imposing or reducing usage limits;
  • Disabling features, integrations, exports, or API access;
  • Moving the account to a different plan;
  • Requiring payment of fees, top-ups, credits, or a subscription;
  • Removing users or User Content;
  • Temporarily or permanently suspending access;
  • Terminating the account;
  • Banning the user from creating or accessing other accounts; and
  • Permanently deleting the account and associated User Content.

We may act immediately where we consider advance notice impractical or potentially harmful.

We are not required to disclose confidential security information, detection methods, internal risk assessments, or information that could enable further abuse.

To the maximum extent permitted by law, Kashboard will not be liable for actions taken in good faith under this section.

A restriction, suspension, or termination for cause does not entitle you to a refund, replacement, or credit.

Repeated attempts to evade enforcement, including by creating a new account, using another identity, purchasing or redeeming another code, or accessing the Service through another person, are prohibited.

9. Plans, Fees, Billing, and Taxes

Some features require payment.

Prices, included features, billing periods, and usage allowances will be disclosed at purchase or in the applicable order, checkout page, or offer terms.

Except where stated otherwise, fees are quoted in U.S. dollars and exclude taxes.

You authorize Kashboard and its payment processors to charge your selected payment method for all fees, taxes, top-ups, usage charges, renewals, and other amounts you approve.

You must keep valid payment information on file and pay amounts when due.

You are responsible for applicable sales, use, value-added, withholding, and similar taxes, excluding taxes based on Kashboard’s net income.

Unless an offer states otherwise, paid subscriptions automatically renew for successive periods equal to the initial billing period until canceled.

You may cancel through the available account controls or by contacting contact@kashboard.app.

Cancellation prevents future renewal charges but does not retroactively refund amounts already charged. Access continues only until the end of the paid period unless the account is terminated for cause.

We may change prices or introduce new fees on reasonable notice.

Price changes ordinarily apply from the next renewal or purchase. Usage-based charges, optional add-ons, third-party pass-through costs, taxes, or charges required under Section 10 may apply as disclosed when incurred or activated.

Except where required by law or expressly stated in an applicable refund policy or offer, payments are non-refundable and non-creditable.

Purchases made through a third-party marketplace, reseller, or deal platform are also subject to that seller’s payment and refund rules. Refund requests must generally be directed to the seller.

10. Lifetime Deals, Promotional Codes, and Third-Party Redemptions

This section applies to any account created or upgraded using a code, voucher, license, promotion, marketplace purchase, reseller offer, or offer described as a “Lifetime Deal,” “LTD,” “lifetime access,” or similar term.

10.1 Meaning of “Lifetime”

Unless the specific written offer expressly states otherwise, “Lifetime” means the commercial lifetime of the applicable Kashboard Service or LTD plan, as determined by Kashboard.

“Lifetime” does not mean:

  • The lifetime of the user;
  • An unconditional perpetual license;
  • Unlimited usage;
  • An obligation for Kashboard to operate indefinitely;
  • A guarantee that any feature, integration, product, or plan will operate forever; or
  • A guarantee that all current or future functionality will remain free.

An LTD provides a limited, revocable, non-exclusive, non-transferable right for the original eligible purchaser to use the features and allowances expressly included in the applicable offer.

All LTD access remains subject to:

  • These Terms;
  • Fair-use requirements;
  • Operational and technical limits;
  • Security requirements;
  • Acceptable-use rules; and
  • Any written offer-specific terms.

An LTD does not include future products, premium features, add-ons, enhanced support, artificial intelligence usage, third-party services, integrations, usage credits, expanded limits, or replacement products unless expressly stated in the applicable offer.

10.2 Redemption and Eligibility

Codes must be obtained lawfully from Kashboard or an authorized third-party seller and redeemed within any stated redemption period.

We may require proof of:

  • Purchase;
  • Identity;
  • Original purchaser status;
  • Eligibility;
  • Payment;
  • Code origin; or
  • Authority to use an account.

Codes and LTD accounts may not be resold, transferred, shared, duplicated, bartered, sublicensed, combined, stacked, or used for multiple organizations unless the applicable written offer expressly permits it.

A code may be suspended or invalidated if it:

  • Was refunded;
  • Was subject to a chargeback;
  • Was stolen or duplicated;
  • Was acquired fraudulently;
  • Was purchased from an unauthorized seller;
  • Was transferred or resold without permission;
  • Was redeemed in breach of the applicable offer; or
  • Otherwise becomes invalid under the originating promotion.

A third party’s advertising, support statement, roadmap, representation, or promise does not modify Kashboard’s obligations unless Kashboard expressly adopted it in the written offer or redemption terms.

If third-party promotional material conflicts with these Terms or Kashboard’s written offer terms, Kashboard’s written terms control to the extent permitted by law.

10.3 Fair Use and Changing Limits

All LTD access is subject to fair use.

We may define, monitor, and adjust reasonable limits based on:

  • The plan’s intended use;
  • Technical capacity;
  • Security requirements;
  • Ordinary customer usage;
  • Third-party costs;
  • Infrastructure costs;
  • The sustainability of the Service; and
  • The need to protect other users.

We may limit or charge separately for resource-intensive or cost-variable features, including:

  • Artificial intelligence;
  • Banking or financial-data connections;
  • API usage;
  • Automations;
  • Storage;
  • Document processing;
  • Data refreshes;
  • Imports and exports;
  • Additional users;
  • Additional businesses or entities;
  • Priority support; and
  • Future premium functionality.

10.4 Top-Ups, Subscriptions, Maintenance Fees, and Migration

You acknowledge and agree that LTD status does not guarantee unlimited, entirely cost-free use of every part of the Service forever.

At any time, Kashboard may require an LTD user—including a user who redeemed a code purchased from a third-party seller—to purchase usage credits or top-ups, pay for an add-on, adopt a paid maintenance or support plan, begin a recurring subscription, or migrate to another plan as a condition of retaining some or all access to the Service.

We may do so where, in our reasonable judgment:

  • The account exceeds stated, intended, or reasonably applied fair-use levels;
  • Continued use creates material infrastructure, support, artificial intelligence, data-provider, banking, integration, or other third-party costs;
  • Usage is excessive, abnormal, automated, shared, commercialized, abusive, or inconsistent with the offer;
  • A third-party seller, integration, provider, promotion, or underlying commercial arrangement changes or ends;
  • The Service, business model, technical architecture, or applicable product is materially changed, replaced, consolidated, or discontinued;
  • An LTD code or purchase has an account, eligibility, payment, refund, chargeback, ownership, fraud, or verification issue; or
  • The charge or migration is reasonably necessary to maintain the security, availability, functionality, integrity, or commercial sustainability of the Service.

Where reasonably practicable, we will provide notice describing the required payment, limit, or migration and the date it applies.

If you decline or fail to comply by that date, we may:

  • Restrict features or usage;
  • Reduce allowances;
  • Disable cost-variable functionality;
  • Suspend the account;
  • Convert the account to a limited or free plan;
  • Require migration to a paid plan; or
  • Terminate and delete the account.

We may act without advance notice in cases involving suspected abuse, fraud, security risk, invalid codes, chargebacks, account irregularities, or material harm.

We will not automatically charge an LTD user a new recurring fee without any consent required under applicable law. However, declining a required fee, top-up, subscription, or migration may result in restricted, suspended, or terminated access.

10.5 LTD Suspension and Termination

LTD users receive no exemption from these Terms.

Kashboard may restrict, suspend, ban, terminate, or delete an LTD account, code, access right, or associated User Content if any of the following arises or is reasonably suspected:

  • System abuse;
  • Account sharing;
  • Excessive usage;
  • Code stacking or manipulation;
  • Unauthorized resale or transfer;
  • Fraud;
  • Chargebacks;
  • Payment disputes;
  • Security concerns;
  • Invalid or duplicated codes;
  • Attempts to avoid restrictions;
  • False or unverifiable account information;
  • Misuse of features or allowances;
  • Violation of these Terms; or
  • Any other account issue that creates legal, operational, security, financial, or reputational risk for Kashboard.

These actions may be permanent and may occur without a refund, replacement code, or credit, except where required by law or binding written offer terms.

The fact that a code was purchased through a third party does not require Kashboard to continue servicing an ineligible, invalid, abusive, risky, or non-compliant account.

10.6 End of an LTD or the Service

Kashboard may discontinue an LTD plan or the Service, or cease business operations, at any time.

If an LTD plan is discontinued while Kashboard continues to offer a substantially similar core Service, we may, at our option, provide:

  • A migration path;
  • Substitute access;
  • Access to a limited plan;
  • A discounted paid plan; or
  • Another reasonable remedy.

Except where required by law or expressly promised in the applicable written offer, Kashboard is not obligated to operate, support, update, replace, or maintain an LTD, plan, feature, or Service indefinitely.

Kashboard is not obligated to provide a refund after an applicable promotional or statutory refund period has expired.

11. Intellectual Property

The Service, including its software, design, interfaces, databases, workflows, documentation, text, graphics, trademarks, logos, and all related intellectual property, is owned by Kashboard or its licensors and is protected by applicable intellectual-property laws.

Except for the limited right to use the Service under these Terms, no rights are granted to you.

If you provide ideas, suggestions, feedback, requests, or recommendations concerning Kashboard or the Service (“Feedback”), you grant Kashboard a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and exploit that Feedback for any purpose without restriction or compensation to you.

12. Artificial Intelligence and Automated Features

The Service may include artificial intelligence, machine learning, rules-based automation, or other automated features.

Outputs may be inaccurate, incomplete, biased, non-unique, or inappropriate for your circumstances.

You must independently review all outputs before relying on or using them.

You must not submit sensitive or regulated information to an artificial intelligence feature unless the feature expressly permits it and you have the right to do so.

Kashboard does not guarantee that an output will be:

  • Unique;
  • Accurate;
  • Complete;
  • Protectable;
  • Non-infringing;
  • Compliant with applicable law; or
  • Accepted by a regulator, tax authority, accountant, bank, or other third party.

13. Beta, Trial, and Free Features

Beta, preview, early-access, evaluation, trial, or free features may be changed, limited, suspended, or discontinued at any time and may be subject to additional terms.

They may contain errors and are provided for evaluation without any service commitment, warranty, support obligation, or guarantee of continued availability.

We may delete inactive free or trial accounts and their User Content after reasonable notice where practicable.

14. Confidentiality

Each party may receive non-public information that is identified as confidential or that reasonably should be understood to be confidential.

The receiving party will use reasonable care to protect that information and use it only to perform obligations or exercise rights under these Terms.

These obligations do not apply to information that the receiving party can demonstrate:

  • Was already lawfully known;
  • Becomes public through no breach of these Terms;
  • Is received lawfully from another source without restriction; or
  • Is independently developed without use of the confidential information.

A party may disclose confidential information where required by law, subpoena, or court order, provided it gives notice where legally permitted and reasonably cooperates with efforts to seek protective treatment.

15. Privacy

Our collection and use of personal information are described in the Kashboard Privacy Policy.

By using the Service, you acknowledge that data may be processed by Kashboard and its service providers in accordance with that policy and applicable law.

If your use of the Service requires a data processing agreement or other privacy terms, you are responsible for requesting and entering into the applicable agreement before submitting regulated personal information.

16. Service Availability and Changes

We aim to provide a useful and reliable Service, but we do not guarantee uninterrupted, secure, timely, or error-free operation.

Maintenance, updates, outages, cyberattacks, provider failures, internet or banking interruptions, legal requirements, and events beyond our control may affect availability or data.

Unless a separate written service-level agreement signed by Kashboard expressly states otherwise, no uptime, support-response, restoration, retention, or recovery commitment applies.

We may deploy updates automatically and may require you to use the current version of the Service.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

KASHBOARD AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • QUIET ENJOYMENT;
  • SECURITY;
  • RELIABILITY;
  • AVAILABILITY; AND
  • RESULTS.

KASHBOARD DOES NOT WARRANT THAT THE SERVICE OR ANY DATA, CALCULATION, CATEGORIZATION, REPORT, INTEGRATION, AUTOMATION, OR OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, COMPLIANT, ERROR-FREE, SECURE, OR SUITABLE FOR ANY TAX, ACCOUNTING, LEGAL, FINANCIAL, OR BUSINESS PURPOSE.

Some jurisdictions do not allow certain warranty exclusions. In that case, the exclusions apply only to the extent permitted by law.

Nothing in these Terms excludes a right or remedy that cannot lawfully be excluded.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KASHBOARD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
  • LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS;
  • LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA;
  • COSTS OF SUBSTITUTE SERVICES;
  • TAXES, PENALTIES, INTEREST, FINES, AUDIT OUTCOMES, OR MISSED DEADLINES;
  • DAMAGES ARISING FROM A SECURITY INCIDENT;
  • DAMAGES ARISING FROM A THIRD-PARTY SERVICE, INTEGRATION, OR BANK FEED;
  • DAMAGES ARISING FROM AN AUTOMATION OR ARTIFICIAL INTELLIGENCE OUTPUT; OR
  • DAMAGES ARISING FROM RELIANCE ON DATA OR INFORMATION PROVIDED THROUGH THE SERVICE.

THESE LIMITATIONS APPLY EVEN IF KASHBOARD WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KASHBOARD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNTS YOU PAID DIRECTLY TO KASHBOARD FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. US$100.

Amounts paid to a third-party marketplace or reseller are not amounts paid directly to Kashboard for purposes of this limitation.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.

They do not apply to liability that cannot legally be limited or excluded.

19. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Kashboard and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, demands, proceedings, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your User Content;
  • Your use or misuse of the Service;
  • Your violation of these Terms;
  • Your violation of applicable law or another person’s rights;
  • Your accounting, tax, financial, payroll, reporting, or compliance decisions;
  • Activity by your authorized users or through your account; or
  • A dispute between you and your customer, employee, contractor, accountant, adviser, bank, tax authority, regulator, or another third party.

We may control the defense of an indemnified claim and select counsel, and you agree to cooperate.

You may not settle a claim in a way that admits fault by or imposes obligations on Kashboard without our written consent.

20. Term and Termination

These Terms begin when you first accept them or use the Service and continue until terminated.

You may stop using the Service and request account closure at any time. Closing an account does not cancel or waive amounts already owed.

We may restrict, suspend, or terminate your access or these Terms:

  • In accordance with Sections 8 and 10;
  • For non-payment;
  • If continuing to provide the Service creates legal, operational, security, or financial risk;
  • If we discontinue the Service;
  • If required by a provider or legal authority; or
  • For another lawful business reason.

Where termination is not for cause or an urgent risk, we will use reasonable efforts to provide notice.

Upon termination, your right to use the Service ends immediately.

We may delete User Content in accordance with our retention practices, subject to applicable law.

You should export any data you need before closing an account. We do not guarantee access to User Content after suspension, termination, or expiration.

Sections that by their nature should survive termination will survive, including provisions concerning:

  • Fees owed;
  • Intellectual property;
  • Feedback;
  • Disclaimers;
  • Limitations of liability;
  • Indemnification;
  • Dispute resolution; and
  • General terms.

21. Changes to These Terms

We may update these Terms from time to time.

We will post the updated version and revise the “Last updated” date.

For material changes, we may provide notice through the Service, by email, or by another reasonable method.

Unless a different date is stated, updated Terms take effect when posted.

Your continued use of the Service after updated Terms take effect constitutes acceptance to the extent permitted by law.

If you do not agree to the updated Terms, you must stop using the Service.

Changes do not retroactively eliminate rights that cannot lawfully be changed without additional consent.

22. Dispute Resolution and Binding Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION AND WAIVES JURY TRIALS AND CLASS ACTIONS TO THE EXTENT PERMITTED BY LAW.

22.1 Informal Resolution

Before filing a claim, you and Kashboard agree to try to resolve the dispute informally for at least 30 days.

A notice of dispute must be sent to contact@kashboard.app and must include:

  • The sender’s name and contact information;
  • The email associated with the Kashboard account;
  • A description of the dispute;
  • The facts supporting the claim; and
  • The requested resolution.

Notices to you may be sent to the email address associated with your account.

22.2 Arbitration Agreement

Except for matters eligible for small-claims court and requests for injunctive relief to prevent actual or threatened infringement, misappropriation, unauthorized access, or misuse of intellectual property or systems, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration.

Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as appropriate.

The Federal Arbitration Act governs this arbitration agreement.

The arbitrator may award any relief available in court on an individual basis and will have authority to resolve disputes concerning the interpretation, applicability, or enforceability of these Terms, except that a court will decide disputes concerning the class-action waiver where required by law.

Arbitration may be conducted remotely, by telephone, through written submissions, or in Austin, Texas, as permitted by the applicable rules and determined by the arbitrator.

Fees will be allocated under the applicable AAA rules and governing law.

22.3 Class-Action and Jury-Trial Waiver

To the maximum extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any class, consolidated, collective, coordinated, mass, or representative proceeding.

The arbitrator may not consolidate claims or preside over a representative proceeding without the written agreement of all parties.

You and Kashboard waive any right to a jury trial.

22.4 Arbitration Opt-Out

You may opt out of this arbitration agreement by emailing contact@kashboard.app within 30 days after you first accept these Terms.

Your notice must include:

  • Your full name;
  • Your account email;
  • Your mailing address; and
  • A clear statement that you wish to opt out of arbitration.

Opting out of arbitration does not affect the remaining Terms.

23. Governing Law and Courts

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For disputes not subject to arbitration, you and Kashboard consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.

You waive objections to personal jurisdiction or inconvenient forum.

Nothing in these Terms prevents either party from seeking relief in an eligible small-claims court.

If you are a consumer in a jurisdiction with mandatory consumer-protection rights, these Terms do not deprive you of protections that cannot lawfully be waived by contract.

24. Export Controls and Sanctions

You may not access or use the Service in violation of United States export-control, sanctions, or trade laws.

You represent that you are not:

  • Located in or ordinarily resident in a prohibited jurisdiction;
  • Organized under the laws of a prohibited jurisdiction;
  • Owned or controlled by a sanctioned party; or
  • Otherwise prohibited from using the Service.

You must not use the Service for any prohibited end use.

25. Electronic Communications

You consent to receive agreements, notices, disclosures, receipts, and other communications electronically, including:

  • By email;
  • Through the Service; or
  • By posting on our website.

Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by law.

You are responsible for keeping your account email current.

26. General Terms

Assignment. You may not assign or transfer these Terms, an account, or an LTD without our prior written consent. Kashboard may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or by operation of law.

Force majeure. Kashboard is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, utility or internet failures, cyberattacks, labor disputes, governmental actions, epidemics, war, civil unrest, provider failures, banking outages, or failures of Third-Party Services.

No waiver. A failure to enforce a provision is not a waiver of the right to do so later.

Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect. If the class-action waiver in Section 22 is found unenforceable for a particular claim, that claim must proceed in court rather than arbitration unless the parties agree otherwise.

No third-party beneficiaries. These Terms do not create rights for anyone other than you and Kashboard.

Relationship. These Terms do not create a partnership, franchise, joint venture, employment, fiduciary, or agency relationship.

Entire agreement and order of precedence. These Terms, the Privacy Policy, applicable order or checkout terms, and any additional terms expressly incorporated by reference are the entire agreement concerning the Service.

If there is a conflict, a separately signed agreement controls, followed by offer-specific written terms, these Terms, and the Privacy Policy, unless the applicable document expressly states otherwise.

Headings. Headings are for convenience only and do not affect interpretation.

The words “including” and “include” mean “including without limitation.”
